California\u2019s economy is the<\/span>\u00a0<a href=\"https:\/\/www.gov.ca.gov\/2025\/04\/23\/california-is-now-the-4th-largest-economy-in-the-world\/\">fourth-largest in the world<\/a>, <span class=\"NormalTextRun SCXW48646853 BCX0\">having surpassed Japan in March. Therefore, <\/span><span class=\"NormalTextRun SCXW48646853 BCX0\">it\u2019s<\/span><span class=\"NormalTextRun SCXW48646853 BCX0\"> essential that investors, <\/span><span class=\"NormalTextRun SCXW48646853 BCX0\">regulators<\/span><span class=\"NormalTextRun SCXW48646853 BCX0\"> and stakeholders understand businesses\u2019 climate-related risks, to assess progress toward a resilient economy. Effective disclosures also provide a meaningful pathway for businesses to reduce risk and increase resilience for the long-haul. To unlock the full potential of climate disclosures, companies should thoughtfully apply their physical and transition risk assessments to improve organizational and community resilience.<\/span><\/p>\n<h2><strong>What is California\u2019s Corporate Climate Disclosure Package? <\/strong><\/h2>\n<p><span class=\"TextRun SCXW121563067 BCX0\" lang=\"EN-US\" xml:lang=\"EN-US\" data-contrast=\"auto\"><span class=\"NormalTextRun SCXW121563067 BCX0\">In October 2023, California passed two laws requiring increased climate-related reporting from large companies with economic activities in the state, starting in 2026. The first law<\/span><\/span>, <a href=\"https:\/\/leginfo.legislature.ca.gov\/faces\/billNavClient.xhtml?bill_id=202320240SB253\">Senate Bill (SB) 253<\/a>, <span class=\"NormalTextRun SCXW86399978 BCX0\">requires that companies \u201cdoing business in California\u201d with over <\/span><span class=\"NormalTextRun SCXW86399978 BCX0\">$1 billion<\/span><span class=\"NormalTextRun SCXW86399978 BCX0\"> in annual revenue publicly <\/span><span class=\"NormalTextRun SCXW86399978 BCX0\">disclose<\/span><span class=\"NormalTextRun SCXW86399978 BCX0\"> their greenhouse gas (GHG) emissions and obtain assurance on the disclosures, with a <\/span><span class=\"NormalTextRun SpellingErrorV2Themed SCXW86399978 BCX0\">nonfiling<\/span><span class=\"NormalTextRun SCXW86399978 BCX0\"> penalty of $500,000 per year.<\/span><\/p>\n<p><span class=\"TextRun SCXW259653125 BCX0\" lang=\"EN-US\" xml:lang=\"EN-US\" data-contrast=\"auto\"><span class=\"NormalTextRun SCXW259653125 BCX0\">Specifically, SB253 requires Scope 1 and 2 disclosures starting in 2026 for 2025 emissions (with limited assurance in 2026 phasing to reasonable assurance in 2030) and Scope 3 emissions disclosures starting in 2027 for 2026 data, with limited assurance beginning in 2030. The TCFD provides a framework for companies to conduct a climate scenario analysis, assessing the physical risks and transition risks and opportunities across their value chain, using the following categories.<\/span><\/span><span class=\"EOP SCXW57308775 BCX0\" data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p><img decoding=\"async\" class=\"alignnone wp-image-28226\" src=\"https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-4.png\" alt=\"\" width=\"1600\" height=\"385\" srcset=\"https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-4.png 1200w, https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-4-300x72.png 300w, https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-4-1024x247.png 1024w, https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-4-768x185.png 768w, https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-4-1000x241.png 1000w, https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-4-700x169.png 700w\" sizes=\"(max-width: 1600px) 100vw, 1600px\" \/><\/p>\n<p>Since the bills passed, the <a href=\"https:\/\/ww2.arb.ca.gov\/our-work\/programs\/california-corporate-greenhouse-gas-ghg-reporting-and-climate-related-financial\">California Air Resources Board<\/a> (CARB) <span class=\"TextRun SCXW53714432 BCX0\" lang=\"EN-US\" xml:lang=\"EN-US\" data-contrast=\"auto\"><span class=\"NormalTextRun SCXW53714432 BCX0\">has been working to craft \u201cimplementing regulations\u201d outlining exactly who is in-scope and how businesses will need to calculate emissions and assess climate-related risks. In September 2024, a third bill<\/span><\/span>, <a href=\"https:\/\/leginfo.legislature.ca.gov\/faces\/billTextClient.xhtml?bill_id=202320240SB219\">SB 219<\/a>, <span data-contrast=\"auto\">clarified some administrative requirements in the original two bills and extended the timeline for CARB to publish its implementing regulations.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">These three bills\u2014together, the Corporate Climate Disclosure Package\u2014represent a step-change in sustainability reporting in the US, requiring comprehensive and comparable disclosures by the largest companies doing business in California.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<h2>Who Will Have to Report Under the Laws?<\/h2>\n<p><span class=\"TextRun SCXW199456608 BCX0\" lang=\"EN-US\" xml:lang=\"EN-US\" data-contrast=\"auto\"><span class=\"NormalTextRun SCXW199456608 BCX0\">Since the bills\u2019 passage, many companies have wondered, what counts as \u201cdoing business in California?\u201d And which frameworks or protocols should <\/span><span class=\"NormalTextRun SCXW199456608 BCX0\">be used<\/span><span class=\"NormalTextRun SCXW199456608 BCX0\"> to <\/span><span class=\"NormalTextRun SCXW199456608 BCX0\">comply with<\/span><span class=\"NormalTextRun SCXW199456608 BCX0\"> the laws? These questions will be answered definitively when CARB <\/span><span class=\"NormalTextRun SCXW199456608 BCX0\">finalizes<\/span><span class=\"NormalTextRun SCXW199456608 BCX0\"> their <\/span><span class=\"NormalTextRun ContextualSpellingAndGrammarErrorV2Themed SCXW199456608 BCX0\">implementing<\/span><span class=\"NormalTextRun SCXW199456608 BCX0\"> regulation(s)\u2014 expected by the end of 2025. This workshop was part of CARB\u2019s \u201cpre-rulemaking\u201d informal stakeholder engagement. Once CARB issues a \u201cNotice of Proposed Rulemaking,\u201d there will be a 45-day formal comment period, <\/span><span class=\"NormalTextRun SCXW268027691 BCX0\">a possible amendment<\/span><span class=\"NormalTextRun SCXW268027691 BCX0\"> phase and then final <\/span><span class=\"NormalTextRun ContextualSpellingAndGrammarErrorV2Themed SCXW268027691 BCX0\">regulation<\/span><span class=\"NormalTextRun SCXW268027691 BCX0\"> adoption before the end of the year.<\/span><\/p>\n<p><img decoding=\"async\" class=\"alignnone wp-image-28229\" src=\"https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-2.png\" alt=\"\" width=\"1600\" height=\"484\" srcset=\"https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-2.png 1200w, https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-2-300x91.png 300w, https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-2-1024x310.png 1024w, https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-2-768x232.png 768w, https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-2-1000x303.png 1000w, https:\/\/www.trccompanies.com\/wp-content\/uploads\/2025\/06\/CARB-2-700x212.png 700w\" sizes=\"(max-width: 1600px) 100vw, 1600px\" \/><\/p>\n<p><span class=\"TextRun SCXW67624416 BCX0\" lang=\"EN-US\" xml:lang=\"EN-US\" data-contrast=\"auto\"><span class=\"NormalTextRun SCXW67624416 BCX0\">During the workshop, CARB announced several draft definitions affecting which entities are in-scope, as follows:<\/span><\/span><span class=\"EOP SCXW67624416 BCX0\" data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<ul>\n<li>Parent and subsidiary relationships to be defined based on \u226550% operational control<\/li>\n<li>\u201cAnnual revenue\u201d to be defined as \u201cgross receipts,\u201d as specified in CA\u2019s <a href=\"https:\/\/codes.findlaw.com\/ca\/revenue-and-taxation-code\/rtc-sect-25120\/\">Revenue and Taxation Code section 25120(f)(2)<\/a><\/li>\n<li>\u201cDoing business in California\u201d to be defined as in the <a href=\"https:\/\/www.ftb.ca.gov\/file\/business\/doing-business-in-california.html\">Tax Code Section 23101<\/a> with the following slight modification, that companies would be in-scope if they meet the law\u2019s revenue threshold <strong>and<\/strong> meet any of these four criteria:\n<ul>\n<li>Organized or commercially domiciled in California<\/li>\n<li>Have $735,019+ of sales in CA, inflation-adjusted in future years OR &gt;25% of total sales<\/li>\n<li>Have $73,502+ of total real and tangible property in CA OR &gt;25% of total property in state<\/li>\n<li>Have $73,502+ payroll compensation in state OR &gt;25% of total payroll in CA<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p>Based on workshop feedback, CARB may consider a higher monetary threshold for the payroll criteria above.<\/p>\n<h2><strong>What Will Compliance Entail?<\/strong><\/h2>\n<p><span data-contrast=\"auto\">CARB also announced which protocols are likely to be required for compliant disclosures.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">For SB253, CARB will likely specify that companies utilize the <\/span> <a href=\"https:\/\/ghgprotocol.org\/\">GHG Protocol<\/a>, <span class=\"NormalTextRun SCXW12529580 BCX0\">the leading emissions calculation framework used internationally. However, CARB regulations must meet strict clarity and specificity standards (by state law), meaning that CARB will <\/span><span class=\"NormalTextRun SCXW12529580 BCX0\">likely have<\/span><span class=\"NormalTextRun SCXW12529580 BCX0\"> to layer <\/span><span class=\"NormalTextRun SCXW12529580 BCX0\">additional<\/span><span class=\"NormalTextRun SCXW12529580 BCX0\"> specific disclosure requirements onto the GHG Protocol to clarify certain provisions. Recognizing that the timeline would be tight for entities to comply with CARB\u2019s final regulations (to be published in late 2025) for the first Scope 1 and 2 disclosures in 2026, CARB published an <\/span> <a href=\"https:\/\/ww2.arb.ca.gov\/sites\/default\/files\/2024-12\/The%20Climate%20Corporate%20Data%20Accountability%20Act%20Enforcement%20Notice%20Dec%202024.pdf\">enforcement notice<\/a> <span class=\"TextRun SCXW145652833 BCX0\" lang=\"EN-US\" xml:lang=\"EN-US\" data-contrast=\"auto\"><span class=\"NormalTextRun SCXW145652833 BCX0\">in December 2024, stating that the agency will not levy fines for partial emissions data reported in 2026, as long as companies make a \u201cgood faith effort\u201d to comply, using data that they already possess. The agency emphasized that companies should use the <\/span><span class=\"NormalTextRun SCXW145652833 BCX0\">remainder<\/span><span class=\"NormalTextRun SCXW145652833 BCX0\"> of 2025 to improve their data collection systems and data completeness for future reporting cycles.<\/span><\/span><span class=\"EOP SCXW145652833 BCX0\" data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p><span class=\"TextRun SCXW194600293 BCX0\" lang=\"EN-US\" xml:lang=\"EN-US\" data-contrast=\"auto\"><span class=\"NormalTextRun SCXW194600293 BCX0\">For SB261, <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">CARB <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">will <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">create <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">a public docket<\/span> <span class=\"NormalTextRun SCXW194600293 BCX0\">for<\/span> <span class=\"NormalTextRun SCXW194600293 BCX0\">all <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">covered entities <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">to<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\"> p<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">rovide <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">a<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\"> link to<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\"> their publi<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">shed <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">climate-related financial risk report. <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">This docket will be open from December 1, <\/span><span class=\"NormalTextRun ContextualSpellingAndGrammarErrorV2Themed SCXW194600293 BCX0\">2025<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\"> to<\/span> <span class=\"NormalTextRun SCXW194600293 BCX0\">July 1, 2026. <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">CARB<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\"> also clar<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">if<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">ied that <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">disclosures made in the first reporting cycle <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">(<\/span><span class=\"NormalTextRun SpellingErrorV2Themed SCXW194600293 BCX0\">ie<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">. by the <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">statutory <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">deadline of January 1, 2<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">026) <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">may <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">use data<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\"> from fiscal years 2023<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">&#8211;<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">2024 or 2024<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">&#8211;<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">2025<\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">, according to <\/span><span class=\"NormalTextRun SCXW194600293 BCX0\">the company\u2019s \u201cbest available information.\u201d<\/span><\/span><span class=\"EOP SCXW194600293 BCX0\" data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p><span class=\"NormalTextRun SCXW207570150 BCX0\">CARB is <\/span><span class=\"NormalTextRun SCXW207570150 BCX0\">seeking<\/span><span class=\"NormalTextRun SCXW207570150 BCX0\"> to enable interoperability with existing climate disclosure requirements as much as possible, such as mandatory TCFD reporting in many countries and the European Union\u2019s Corporate Sustainability Reporting Directive (CSRD).
